Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 27, 2011, Ken Haas notified the board of directors of Zogenix, Inc. that he will not be standing for re-election for the coming year. Mr. Haas’ service as a director and as a member of the nominating/corporate governance committee will end effective as of the date of our Annual Meeting of Stockholders to be held on May 24, 2011. Mr. Haas’ decision to not stand for re-election did not result from any disagreement with us concerning any matter relating to our operations, policies or practices.
