ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On April 27, 2011, Fidelity D & D Bancorp, Inc. issued a press release describing its results of operations for the quarter ended March 31, 2011. A copy of the related press release is being furnished as Exhibit 99.1 to this Form 8-K.
