Item 7.01. Regulation FD Disclosure.

In the Amedisys, Inc. (“we,” “us,” “our” or the “Company”) Quarterly Report on Form 10-Q for the quarter ended March 31, 2011 (the “First Quarter Form 10-Q”), we indicated that we had been informed by the U.S. Department of Justice that we would be receiving a second Civil Investigative Demand (“CID”) issued by the Department, related to the CID we received in September 2010. On April 26, 2011, we received this second CID. For more information regarding these matters, please see the information under the heading “Legal Proceedings” in Note 5 (Commitments and Contingencies) to the Financial Statements included in our First Quarter Form 10-Q.
