Item 7.01 — Regulation FD Disclosure.

 

On April 26, 2011, we announced that we intend to offer, subject to market and other conditions, up to $50 million aggregate principal amount of our 7.75% Senior Notes due 2019 in a private placement to eligible purchasers.  The notes will be part of the same class as the $300 million aggregate principal amount of 7.75% Senior Notes due 2019 we issued in March 2011.  We intend to use the net proceeds from the offering to repay borrowings outstanding under our revolving credit facility.  Amounts repaid under our revolving credit facility may be reborrowed, subject to the terms of the revolving credit facility, and we may use such amounts to redeem our 7¾% Senior Notes due 2013 currently outstanding and/or for general corporate purposes.  A copy of the press release announcing the offering is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

 

The notes have not been registered under the Securities Act of 1933 (the “Securities Act”) or any state securities laws; and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
