Item 4.01.    Changes in Registrant’s Certifying Accountant.

On April 18, 2011, the chair of the audit committee of the board of directors of China Power Technology, Inc. (the “Company”) was notified by Bernstein & Pinchuk LLP (“B&P”), the Company’s independent registered public accounting firm, of B&P’s resignation as the Company’s independent registered public accounting firm. B&P entered into a joint venture agreement with Marcum LLP and formed Marcum Bernstein & Pinchuk LLP (“MarcumBP”) in a transaction pursuant to which B&P merged its China operations into MarcumBP and certain of the professional staff of B&P joined MarcumBP as employees of MarcumBP. Accordingly, effective April 18, 2011, B&P resigned as the Company’s independent registered public accounting firm. The Company intends to engage MarcumBP as its independent registered public accounting firm for the fiscal year ending December 31, 2011 upon approval by the Company’s audit committee of the appointment. The Company will amend this Current Report on Form 8-K once MarcumBP is formally appointed and engaged.

B&P’s reports on the Company’s consolidated financial statements for the years ended December 31, 2009 and 2010 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles. Since B&P’s engagement as the Company’s independent registered public accounting firm on June 1, 2010 through April 18, 2011, the date of B&P’s resignation, there have been no disagreements on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of B&P, would have caused B&P to make reference to the subject matter of the disagreements in its report as described in Item 304(a)(1)(iv) under Regulation S-K. There have also been no reportable events as provided in Item 304(a)(1)(v) under Regulation S-K since B&P’s engagement on June 1, 2010 through April 18, 2011.

During the Company’s two most recent fiscal years ended December 31, 2009 and 2010 and through April 18, 2011, the date of B&P’s resignation and MarcumBP’s engagement, neither the Company, nor anyone on its behalf, consulted with MarcumBP with respect to (i) the application of accounting principles to a specified transaction, either completed or proposed; (ii) the type of audit opinion that might be rendered on the Company’s consolidated financial statements; or (iii) any matter that was either the subject of a disagreement as described in Item 304(a)(1)(iv) under Regulation S-K) or a reportable event as provided in Item 304(a)(1)(v) under Regulation S-K.

The Company provided B&P with a copy of the foregoing disclosure and requested B&P furnish the Company with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the statements made therein. A copy of such letter, dated April 22, 2011, is filed as Exhibit 16.1 to this Current Report on Form 8-K.
