Item 8.01 Other Events.

U.S. Concrete, Inc. will hold its 2011 Annual Meeting of Stockholders on Tuesday, August 2, 2011 at 9:00 a.m. Eastern time, at the Saddle Brook Marriott, 138 New Pehle Avenue, Saddle Brook, New Jersey, 07663. Based on this date, the revised deadline for submitting shareholder proposals for inclusion in the company’s 2011 proxy statement and form of proxy, and submit notices of shareholder proposals is May 4, 2011. The Board of Directors has set the close of business on June 7, 2011 as the record date for determining stockholders entitled to receive notice of and to vote at the meeting.
