Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 6, 2011, Navarre Corporation (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) disclosing that its Board of Directors had terminated the employment of Cary L. Deacon, the Company’s former President and Chief Executive Officer. As disclosed in the Original 8-K, pursuant to the terms of the employment agreement between the Company and Mr. Deacon, he was required to resign as a director of the Company when requested to do so upon the termination of his employment. The Board of Directors made that request in connection with the termination of Mr. Deacon’s employment and, on April 15, 2011, received Mr. Deacon’s resignation as a member of the Company’s Board of Directors.
