                    Chemical Financial Corporation ("Chemical") will hold its annual meeting of shareholders on Monday, April 18, 2011, at 2:00 p.m. local time. At the meeting, the shareholders will (1) elect fifteen directors; (2) vote on an amendment to the Restated Articles of Incorporation to increase the number of authorized shares of common stock from 30,000,000 to 45,000,000; (3) ratify the appointment of KPMG LLP as independent registered public accounting firm for the year ending December 31, 2011; (4) cast an advisory vote on executive compensation; (5) cast an advisory vote on the frequency of the advisory vote on executive compensation; and (6) conduct any other business that may properly come before the meeting.
