Umami Sustainable Seafood Inc. (the “Company”), hereby amends its Current Report on Form 8-K dated November 30, 2010, for the purpose of filing the financial statements and pro forma financial information required by Item 9.01 of Form 8-K with respect to the acquisition of Baja Aqua Farms, S.A. de C.V., a Mexican corporation (“Baja”) and its affiliate Oceanic Enterprises, Inc., a California corporation (“Oceanic”). Except for Item 9.01, there are no changes to the Current Report on Form 8-K.
