Item 5.03               Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 6, 2011, the Corporation’s Board of Directors amended Article 24 of its Bylaws by adding Section 24.2 allowing the Corporation’s securities to be represented by uncertificated shares.  The amended and restated Bylaws are attached as Exhibit 3.2 and are incorporated in this Item 5.03 by reference.
