(b) On March 31, 2011, Steve Valenzuela resigned his position as Chief Financial Officer, Senior Vice President and Secretary of Rainmaker Systems, Inc. (“Rainmaker”), effective April 20, 2011. Mr. Valenzuela has accepted a Chief Financial Officer position with a private company that provides software for the management and security of mobile devices.
Timothy Burns, 36, currently Rainmaker’s Corporate Controller, will assume the responsibilities of Acting Chief Financial Officer effective upon Mr. Valenzuela’s departure. Mr. Burns has over twelve years of finance and accounting experience and joined Rainmaker in November 2010. Prior to joining Rainmaker, Mr. Burns spent nine years at Dean Foods Company where he served as the Director of Corporate Accounting from March 2008 to November 2010, Assistant Controller from February 2007 to February 2008 and SEC Reporting Manager from March 2006 to January 2007. Mr. Burns is a licensed CPA in the state of Texas and has a Master’s degree in Professional Accounting from the University of Texas at Austin and a Bachelor of Science degree in Accounting from the University of Southern California.
