Item 8.01. Other Events.
On April 6, 2011, Anaren, Inc. (the "Company") issued a press release acknowledging its receipt of a notice from AML Communications, Inc. ("AML") stating that AML received an offer from Microsemi Corporation and that AML's board of directors intends to withdraw its recommendation in favor of the pending merger transaction with the Company. The Company has no comment at this time on the notice from AML.
