ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On March 31, 2011, Silicon Valley Bank (the “Bank”) agreed to increase the letter of credit sub-facility under Spire Corporation's credit facility with the Bank from $1.5 million to $2.5 million. All other terms and conditions under the credit facility remain the same.
