Item 5.07 Submission of Matters to a Vote of Security Holders.
On March 25, 2011, Fifth Street Finance Corp. (the Company) held its 2011 annual meeting of
stockholders (the Annual Meeting). At the Annual Meeting, the Companys stockholders approved
three proposals. The proposals are described in detail in the Companys proxy statement dated
January 28, 2011. As of January 24, 2011, the record date,
55,059,057 shares of common stock were eligible to
vote.
Proposal 1. The Companys stockholders elected two directors of the Company, each of whom will
serve until the 2014 annual meeting of stockholders, or until their successors are duly elected and
qualified. The tabulation of votes was:
