Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On March 28, 2011, FUQI International, Inc. (the “Company”) received written notice that the NASDAQ Listing Qualifications Panel has determined to delist the Company’s securities from The NASDAQ Stock Market, effective with the open of business on Tuesday, March 29, 2011.

On March 29, 2011, the Company issued a press release announcing that it had received the NASDAQ delisting determination letter, as described in Item 3.01 of this Current Report. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and the information therein is incorporated herein by reference.
