Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 25, 2011, General (Ret.) John M. Keane, resigned from his position as a member of the Board of Directors of Cyalume Technologies Holdings, Inc. (the “Company”), which resignation was effective on that date. General Keane has advised the Company that his resignation was not the result of any disagreement between the Company and General Keane on any matter relating to the Company’s operations, policies or practices.
