On March 25, 2011, Robert E. Wilson voluntarily resigned from the Board of Directors of Rural/Metro Corporation (the “Company”). Mr. Wilson has informed the Company that he is commencing employment with an internationally recognized accounting firm, and that in connection with such employment, Mr. Wilson will not continue to serve as a member of the Board of Directors of any public company. Prior to his resignation, Mr. Wilson served as Chairman of the Audit Committee of the Company’s Board of Directors. Mr. Wilson advised the Company that his resignation is not due to any disagreements with the Company on any matters relating to the Company’s operations, policies, or practices.
