Item 8.01                      Other Events.

On March 24, 2011, the Board of Directors of Oconee Federal Financial Corp. (the “Company”) declared a quarterly cash dividend of $0.10 per share of the Company’s common stock. The dividend will be payable to stockholders of record as of April 7, 2011, and will be paid on April 21, 2011.

The Company is the majority-owned subsidiary of Oconee Federal, MHC, a federal mutual holding company, which owns 65% of the Company’s outstanding shares.  Oconee Federal, MHC has filed a regulatory notice of its intention to waive the receipt of dividends paid on its shares of the Company.
