Item 5.02(b).  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 21, 2011, China Recycling Energy Corporation (the “Company”) received notice from Sean Shao, the Chairman of the Audit Committee and its financial expert and a member of the Corporate Governance and Nominating Committee that he will not stand for re-election as a director at the Company’s annual shareholders’ meeting, which is tentatively scheduled to be held in early June, 2011.  Mr. Shao indicated that his decision of not standing for re-election is to pursue other interests and not because of a disagreement with the Company. The Company is in the process of interviewing other candidates to replace Mr. Shao.
