Section 5 – Corporate Governance and Management
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) The Board of Directors of Old Line Bancshares, Inc. (the “Company”) adopted an amendment (the “Amendment”) to Article I of the Company’s Bylaws, effective March 24, 2011, to eliminate the requirement that the Company’s annual meeting of stockholders be held in May of each year. Under the Amendment, the Company’s Board of Directors has the discretion to set the date of the annual meeting.
The text of Amendment is filed as Exhibit 3.2.1 hereto.
