On March 16, 2011, the Board of Directors of TiVo Inc. approved one-time discretionary cash performance and retention awards for the Chief Executive Officer, Chief Financial Officer and General Counsel. These discretionary cash performance and retention awards were in recognition of recent performance which was not contemplated as part of the Company's executive bonus plan and are payable half as of March 16, 2011 and half on January 31, 2012, as long as the individual officer remains an employee in good standing as of each such payment date. See Exhibit 99.1 for award amounts.
