SUN BANCORP, INC. PRICES PUBLIC OFFERING OF COMMON STOCK

VINELAND, NJ – March 17, 2011 – Sun Bancorp, Inc. (NASDAQ:SNBC), the parent company of Sun National Bank, announced today the pricing of an underwritten public offering of 25,000,000 shares of common stock at a public offering price of $3.00 per share. After deducting the underwriting discount and estimated offering expenses payable by the company, Sun expects to receive net proceeds of approximately $70,250,000. Sun has also granted the underwriters a 30-day option to purchase up to an additional 3,750,000 shares of common stock on the same terms and conditions to cover over-allotments, if any.  The offering is expected to close on or about March 22, 2011, subject to customary closing conditions.

Sun’s three largest shareholders and private equity investors, WL Ross, Siguler Guff, and the Brown family, along with certain officers and directors, have agreed to purchase an aggregate of 10,193,224 shares in the offering.  WL Ross and Siguler Guff will maintain their percentage interest in Sun.  WL Ross, Siguler Guff and the Brown family will purchase shares in the offering at the public offering price less the underwriting discounts and commissions paid to the underwriters.

Keefe, Bruyette & Woods, Inc. is acting as sole book-running manager for the offering and Janney Montgomery Scott LLC, Sandler O’Neill + Partners, L.P. and Sterne, Agee & Leach, Inc. are acting as co-managers for the offering.
