Item 8.01. Other Events.
On March 21, 2011, Citigroup Inc. (“Citi”) announced a 1-for-10 reverse stock split of Citi common stock. Citi also announced that it intends to reinstate a quarterly dividend of $0.01 per common share in the second quarter of 2011, following the effective date of the reverse stock split.
A copy of the press release announcing these events is being filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference in its entirety.
