Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On March 11, 2011, Virginia A. Clarke, a member of the Board of Directors of Medical Properties Trust, Inc. (the “Company”), notified the Company that, in order to devote more time to her other business interests, she is regretfully resigning from the Board of Directors. Ms. Clarke served as a director since February 2005 and was also a member of the Company’s Ethics, Nominating and Governance Committee and Compensation Committee. The Company thanks Ms. Clarke for her years of service to the Company and wishes her the best in her future endeavors.
In connection with Ms. Clarke’s resignation, the Board of Directors has determined to reduce the size of the Board of Directors to seven members.
