Explanatory Note

Magnum Hunter Resources Corporation, a Delaware corporation (the “Company”) is filing this Amendment No. 2 to its Current Report on Form 8-K filed on January 5, 2011 (the “Initial Form 8-K”) and amended by Amendment No. 1 to the Initial Form 8-K filed on March 2, 2011, to amend and supplement Item 9.01 of the Initial Form 8-K.  As described in the Initial Form 8-K and the Company’s Current Report on Form 8-K filed on January 18, 2011, on December 30, 2010 and January 14, 2011, Triad Hunter, LLC (“Triad”), a wholly owned subsidiary of the Company, purchased certain oil and gas properties and leasehold mineral interests and related assets in Wetzel and Lewis Counties, West Virginia (the “Purchased Assets”) from Quest Eastern Resource LLC and PostRock MidContinent Production, LLC.  This Amendment No. 2 is being filed to include historical audited financial statements and pro-forma financial information as required by Item 9.01 of Form 8-K.  This Amendment No. 2 continues to speak as of the date of the filing of the Initial 8-K, and the Company has not updated the disclosures contained therein to reflect any events that occurred at a later date.

The Company is filing this Amendment No. 2 to the Initial Form 8-K to include historical audited financial statements and pro-forma financial information related to the acquisition of the Purchased Assets as required by Item 9.01 of Form 8-K.
