On March 8, 2011, the Compensation and Benefits Committee of the Board of Directors (the “Compensation Committee”) approved, effective as of April 1, 2011, the following material modifications to the compensation arrangements of the named executive officers: David P. Kirchhoff, President and Chief Executive Officer, new base salary of $850,000 per annum; and Melanie Stack (Stubbing), President, International, new base salary of £290,000 per annum.
