Item 1.01               Entry into a Material Definitive Agreement

 

On March 4, 2011, Synergy Pharmaceuticals, Inc., a Florida corporation (the “Company”), closed a financing with a non-U.S. investor which raised gross proceeds of $1,800,000 in a registered direct offering.  The Company issued to the investor 600,000 shares of its common stock and warrants to purchase 420,000 shares of common stock. The purchase price paid by the investor was $3.00 for each unit. The warrants expire after seven years and are exercisable at $3.10 per share.  Proceeds from the transaction will be used for general corporate purposes.

 

The offering was made pursuant to a shelf registration statement on Form S-3 (SEC File No. 333-163316, the base prospectus effective December 10, 2009), as supplemented by a prospectus supplement filed with the Securities and Exchange Commission on February 14, 2011.
