Item 1.01 Entry into a Material Definitive Agreement
On March 10, 2011, Corning Natural Gas Corporation ("Corning") and Community Bank N.A. ("Community Bank") modified the interest rate in a Term Loan Agreement dated May 10, 2010. The interest rate has been changed from a fixed interest rate of 6.25% per annum to a floating rate of one month LIBOR plus 2.75% with a floor rate of 4.50% and a ceiling rate of 6.25%. The maturity date remains May 10, 2015 and the monthly fixed payment amount has not changed.
The foregoing description of the Change in Terms Agreement is not complete and is qualified in its entirety by the full and complete terms, is attached as Exhibit 10.1 to this current report and is incorporated by reference herein.
