On March 8, 2011, the Compensation Committee of the Board of Directors of Cloud Peak Energy Inc. (“Cloud Peak Energy”) approved various forms of equity award agreements (the “Award Agreements”) pursuant to Cloud Peak Energy’s 2009 Long Term Incentive Plan (“LTIP”). The Award Agreements, which were approved in connection with Cloud Peak Energy’s 2011 LTIP awards, are filed as Exhibits 10.1, 10.2 and10.3 to this Form 8-K and are incorporated by reference in this Item 5.02(e).
