Item 8.01  Other Events

On March 7, 2011, GT Solar International, Inc. (the “Company”) issued a press release announcing that it has reached an agreement in principle to settle two putative securities class-action lawsuits related to the Company’s initial public offering on July 24, 2008.  Both the terms of the proposed settlement and the plan of distribution for the settlement fund are subject to further documentation and court approval.

A copy of the press release is furnished as Exhibit 99.1 to this report.
