Other Events

On March 2, 2011, the Board of Directors of ITEX Corporation announced a quarterly cash dividend in the amount of 4 cents per share would be payable on March 20, 2011 to stockholders of record as of the close of business on March 10, 2011. A copy of the press release announcing the dividend declaration is filed as Exhibit 99.1 and is incorporated herein by reference.
