Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Jack Jacobs submitted his resignation from the Board of Directors of the Company on February 24, 2011. Mr. Jacobs resigned from the Board as a result of demands related to other on-going business activities and not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 25, 2011, the Board of Directors amended the Bylaws of the Company, effective immediately, to provide that the Company’s Board of Directors must consist of no fewer than three, but not more than eight, directors, effective immediately. The precedent description of the amendment is qualified in its entirety by reference to the full text of the Company’s Amended and Restated Bylaws, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.1 and is hereby incorporated herein by reference.
