Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 26, 2011, Pacific Biomarkers, Inc. received a written resignation from Paul Kanan, one of the directors on our Board of Directors, effective immediately. Mr. Kannan previously served on our Audit Committee, and his resignation from the Board also served as his resignation from this Committee. Mr. Kanan's resignation was not the result of any disagreement with the Company.
Mr. Kanan has been a Director since 1996, and also previously served as our President and Chief Executive Officer from October 1996 through August 2002. We thank him for his years of service and commitment to the Company.
