ITEM 8.01 – OTHER EVENTS
On February 27, 2011, Cypress Semiconductor Corporation completed the divestiture of its image sensor business unit to ON Semiconductor Trading Ltd., pursuant to that certain asset purchase agreement entered into by and between Cypress Semiconductor Corporation and ON Semiconductor Trading Ltd. on January 26, 2011.
