Explanatory Note

This current report on Form 8-K/A is being filed by Fortune Industries, Inc. (the “Company”) to amend the Current Report on Form 8-K originally filed with the Securities and Exchange Commission on April 8, 2009 (the “Initial Form 8-K”).  This sole purpose of this amendment is to outline the terms of the employment agreement approved for Randy Butler, Chief Financial Officer, by the Company’s Board of Directors on February 21, 2011.  All other information in the Initial Form 8-K remains unchanged.

Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 21, 2011, Randy Butler, Chief Financial Officer entered into an employment agreement with the Company pursuant to which Mr. Butler will receive an annual salary of $130,000, with an initial term through June 30, 2014.  Mr. Butler received a grant of 20,000 shares of restricted company common stock, with vesting contingent upon the Company achieving certain EBITDA goals.  Mr. Butler is also entitled to profit sharing if the Company achieves certain EBITDA goals.
