Item 8.01. Other Events.
As previously disclosed, on January 28, 2011, Alpha Natural Resources, Inc., a Delaware corporation (“Alpha”), and one of its wholly owned subsidiaries entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Massey Energy Company, a Delaware corporation (“Massey”), providing for the acquisition of Massey by Alpha. In connection with the Merger Agreement, Alpha entered into an Amended and Restated Commitment Letter (the “Commitment Letter”) among Alpha, Morgan Stanley Senior Funding, Inc. and Citigroup Global Markets Inc. A copy of the Commitment Letter is attached hereto as Exhibit 99.1.
