On February 18, 2011, Advanced Micro Devices, Inc. (the Company) entered into a Separation Agreement and General Release (the Separation Agreement) with Mr. Robert J. Rivet, former Executive Vice President and Chief Operations and Administrative Officer of the Company. Pursuant to the Separation Agreement, Mr. Rivet will cease to be an employee of the Company, its subsidiaries, joint ventures or other affiliates effective March 31, 2011 (the Separation Date). In addition, as reported by the Company in its Current Report on Form 8-K dated February 9, 2011, effective February 8, 2011, Mr. Rivet no longer served as an executive officer of the Company. Mr. Rivet will continue to receive his base salary compensation through the Separation Date. In addition, Mr. Rivets stock options and RSUs will continue to vest through the Separation Date, and he will continue to be eligible for health and other benefits. Under the Separation Agreement, Mr. Rivet will be paid a cash bonus for fiscal 2010 in the amount of $500,000 under the Companys Executive Incentive Plan (the Plan). The bonus will be paid on March 24, 2011.
