Item 8.01.              Other Events.

On February 18, 2011, the Board of Directors of SRS Labs, Inc. (the “Company”) approved a stock repurchase program.  Under the stock repurchase program, the Company may acquire up to one million shares of the Company’s outstanding common stock. The stock repurchase program will commence February 25, 2011 and will end on December 31, 2011.  Purchases may be made from time to time in the open market, in block purchases or in privately negotiated transactions, depending on market conditions, share price and other factors.
