(a) On February 18, 2011, in accordance with Section 109 of the General Corporation Law of
the State of Delaware, Article IX of the Registrant’s Certificate of Incorporation, and
Article IX of the Registrant’s original Bylaws, the Registrant’s Board of Directors repealed
the Registrant’s original Bylaws and adopted new Bylaws.
