Item 1.01               Entry into a Material Definitive Agreement.

 

On February 11, 2011, BankUnited, Inc., a Delaware corporation (the “Company”), entered into separate indemnification agreements with each of its directors and executive officers, namely: John A. Kanas, John Bohlsen, Douglas J. Pauls, Rajinder P. Singh, Randy R. Melby, Chinh E. Chu, Ambassador Sue M. Cobb, Eugene F. DeMark, Richard S. LeFrak, Wilbur L. Ross, Jr., Pierre Olivier Sarkozy and Lance N. West. The Company’s board of directors had previously approved the form of indemnification agreement that was entered into with such individuals. The Company’s board of directors also authorized the Company to enter into, from time to time, additional indemnification agreements with future directors and executive officers of the Company.

 

Each indemnification agreement provides, among other things, for indemnification to the fullest extent permitted by law and the Company’s amended and restated certificate of incorporation and by-laws against (i) any and all liabilities, expenses, damages, judgments, fines, penalties, ERISA excise taxes, interest and amounts paid in settlement of any claim with the Company’s approval and counsel fees and disbursements, (ii) any liability pursuant to a loan guarantee, or otherwise, for any of our indebtedness, and (iii) any liabilities incurred as a result of acting behalf of the Company (as a fiduciary or otherwise) in connection with an employee benefit plan or any related trust or funding mechanism. Each indemnification agreement provides for the advancement or payment of expenses to the indemnitee and for reimbursement to the Company if it is found that such indemnitee is not entitled to such indemnification under applicable law and our amended and restated certificate of incorporation and by-laws.
