Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On February 8, 2011, Mr. Mitchell D. Mroz officially notified Cepheid of his decision to retire from, and not stand for reelection to, Cepheid’s Board of Directors. Mr. Mroz’s term as a Class III director extends through April 26, 2011, the date of Cepheid’s 2011 annual shareholder meeting, and Mr. Mroz will serve the remainder of his term. There were no disagreements between Mr. Mroz and Cepheid.
