On February 11, 2011, Swisher Hygiene Inc. (“Swisher Hygiene”) issued a notice made pursuant to Rule 135c under the Securities Exchange Act of 1933, as amended, announcing a private placement of subscription receipts of Swisher Hygiene (the “Offering”).
A copy of the press release announcing the Offering is attached hereto as Exhibit 99.1 to this report.
