Item 7.01 Regulation FD
On February 9, 2011, American Axle & Manufacturing Holdings, Inc. (“AAM”) received from General Motors LLC (f/k/a General Motors Company)(“GM”) a notice of exercise of the remaining 2,046,865 warrants to purchase AAM common stock pursuant to the cashless exercise option under Section 7.6 of the Warrant Agreement by and between AAM and GM dated as of September 16, 2009. Accordingly, AAM will issue 1,657,121 shares of its common stock to GM.
