Entry
into a Material Definitive
Agreement

On
January 31, 2011, Republic Airways Holdings Inc. (the “Company”) entered into an
amendment to the Delta Connection Agreement dated and effective January 13, 2005
among Delta Air Lines, Inc., Shuttle America Corp. (as assignee of Republic
Airline, Inc.) and the Company (the “Agreement”). The amendment
establishes the annual base rate costs for certain periods, adds eight
additional Embraer ERJ 170 aircraft within the scope of the Agreement and amends
certain provisions of the Agreement.

the Company’s press release is furnished herewith as Exhibit 99.1 and is
incorporated herein by reference.
