Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 1, 2011, the Board of Directors of Crawford & Company (the “Company”) unanimously elected Joia M. Johnson, 50, as a Director of the Company. Ms. Johnson is Chief Legal Officer, General Counsel and Corporate Secretary of Hanesbrands, Inc. (NYSE: HBD), a leading marketer of innerwear, outerwear and hosiery apparel, a position she has held since January 2007. From May 1999 until January 2007 she was Executive Vice President, General Counsel and Secretary of RARE Hospitality International, Inc., a publicly traded restaurant franchise owner and operator based in Atlanta.
As a director, Ms. Johnson is entitled to compensation in the same amounts and type as other non-employee directors of the Company.
