Item 2.02 Results of Operations and Financial Condition

On February 2, 2011, Bank of the Carolinas Corporation (the “Registrant”) issued a press release announcing its results of operations for the three months and year ended December 31, 2010. A copy of the Registrant’s press release is attached as exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
