Results of Operations and Financial Condition.

On February 2, 2011, Schweitzer-Mauduit International, Inc. issued a Press Release announcing earnings for the quarter ended December 31, 2010. The earnings release is attached hereto as Exhibit 99.1. This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or the Exchange Act, or otherwise subject to the liability of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as expressly set forth by specific reference to such filings.

Other Events

On February 2, 2011, Schweitzer-Mauduit International, Inc. issued a Press Release announcing its plan to accelerate establishment of a domestic market position for reconstituted tobacco leaf, or RTL, in China and suspend the project to add capacity in the Philippines. The work done to date with the Philippine project will be brought to an orderly suspension in a way that facilitates eventual continuation. As a result of suspending the Philippine RTL project, SWM will evaluate during early 2011whether to recognize an impairment charge, in accordance with applicable accounting standards, for any portion of the approximate $22 to $35 million carrying value of final site construction and installation costs.
