ITEM 2.02		RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

          On February 1, 2011, FirstMerit Corporation announced earnings for the quarter and year ended December 31, 2010. A copy of the press release and certain financial information for these periods are attached as Exhibit 99.1 hereto and incorporated by reference herein.

          Pursuant to General Instruction B.2 of Current Report on Form 8-K, the information in this Item 2.02 is being furnished and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liability of that section. Furthermore, the information in this Item 2.02 shall not be deemed to be incorporated by reference into the filings of the Corporation under the Securities Act of 1933, as amended.

          On January 30, 2011, First Merit Bank, N.A., the wholly-owned subsidiary of First Merit Corporation, filed its Call Report for the quarter and year ended December 31, 2010 with the Office of the Comptroller of the Currency.
