Item 8.01. Other Events.
     Magnum Hunter Resources Corporation (the “Company”) is filing this Current Report on Form 8-K to provide the unaudited pro forma combined financial information that has been disclosed in the preliminary proxy statement of NGAS Resources, Inc. (“NGAS”) filed with the Securities and Exchange Commission on January 31, 2011, regarding the proposed meeting of NGAS’ shareholders to vote on the Company’s acquisition of NGAS pursuant to the Arrangement Agreement, dated as of December 23, 2010 (“NGAS Arrangement Agreement”), between the Company and NGAS.
     The following unaudited pro forma combined financial information related to the Company’s proposed acquisition of NGAS is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference into this Form 8-K:
     (i) Unaudited Pro Forma Combined Balance Sheet as of September 30, 2010;
     (ii) Unaudited Pro Forma Combined Income Statement for the nine months ended September 30, 2010; and
     (iii) Unaudited Pro Forma Combined Income Statement for the year ended December 31, 2009 (collectively, together with the notes thereto, the “Pro Forma Financial Information”).
     The Pro Forma Financial Information includes information for the following: (i) the proposed NGAS acquisition described in the NGAS Arrangement Agreement; (ii) the first two completed phases of the acquisition described in the Purchase and Sale Agreement dated December 24, 2010, by and among the Company, Triad Hunter, LLC, Quest Eastern Resource LLC and PostRock MidContinent Production, LLC; and (iii) the proposed acquisition described in the Arrangement Agreement, dated as of January 19, 2011, by and among the Company, MHR ExchangeCo Corporation, and NuLoch Resources Inc. The Pro Forma Financial Information should be read in conjunction with the notes thereto, the Company’s Current Reports on Form 8-K, filed on January 25, 2011, January 19, 2011, January 18, 2011, January 5, 2011, December 30, 2010, and December 27, 2010, and the consolidated financial statements of the Company and the notes thereto as filed with the Company’s Annual Report on Form 10-K for the year ended December 31, 2009 and the Quarterly Report on Form 10-Q for the nine months ended September 30, 2010.
