Item 3.01.  Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On January 31, 2011, Five Star Quality Care, Inc., or the Company, provided written notice to NYSE Amex that the Company expects to voluntarily cease trading on NYSE Amex, effective at the close of business on February 3, 2011.  The Company’s common stock, par value $.01 per share, or Common Stock, has been authorized for listing on the New York Stock Exchange, or the NYSE, and is expected to begin trading on the NYSE on or about February 4, 2011, where it will continue to trade under the stock symbol “FVE.”  The Company’s board of directors approved the delisting of the Common Stock from NYSE Amex and the listing of the Common Stock on the NYSE on January 28, 2011.
